Web Site Design:
Teleteria offers website design services. Please note that a 50% deposit is required for website design work. For additional information, please see the section on "Payment Policy" in our Terms and Conditions.
Payments:
Teleteria, Inc. accepts payments by check, money order, or credit card. All payments should be made payable to "Teleteria, Inc." Each customer is expected to pay invoice charges in full no later than 7 days after invoice date. Failure to make appropriate payments within 7 days after date of invoice may result in an interruption of service. In addition, Teleteria, Inc. reserves the right to assess a late fee of $25.00 on invoices not paid within 7 days. Teleteria reserves the right to take offline any site if clients invoice is over 30 days late.

If you pay by credit card, charges will appear on your credit card statement as "Teleteria, Inc." Please be sure to completely fill out the credit card authorization form below.

 

Terms and Conditions:

Acceptable Use:
Teleteria Inc.'s services may only be used for lawful purposes. Transmission of any material in violation of International, Federal or State laws and regulations is prohibited. This includes but is not limited to: material legally judged to be threatening or obscene, or material protected by trade secret laws. If you are found to be in violation of Teleteria, Inc.'s Terms and Conditions, your account will be terminated without notice and you will forfeit all of the moneys that have been paid to Teleteria, Inc.

Intellectual Property Rights:
Teleteria, Inc. provides a limited license to use any images, text, or other material provided to you as part of its website design services or turnkey operation. In return, you agree to obtain any and all necessary consents and clearances to enable you lawfully to make use of any and all intellectual property that you add to the website designed by Teleteria, Inc., including without limitation, clearance and/or consents with respect to your proposed domain name.

Web Site Hosting And Email:
Teleteria, Inc. makes no representation and gives no warranty as to the accuracy or quality of information received by any person via our servers, and it shall have no liability for any loss or damage to any data stored on our servers. While Teleteria, Inc. will use every reasonable endeavor to ensure the integrity and security of Teleteria, Inc.'s servers, it cannot and does not guarantee that its servers will be free from unauthorized users or hackers. Teleteria, Inc. shall be under no liability for interruptions of service, corruption of data, alteration of your website, non-receipt or misrouting of email, or for any other damage resulting from unauthorized intrusion by third parties.

By purchasing website design or hosting services from Teleteria, Inc., you represent, undertake and warrant to Teleteria, Inc. that you will use such services only for lawful purposes. In particular, you represent, warrant and undertake to Teleteria, Inc. that you will not use services provided by Teleteria, Inc. in any manner which infringes any law or regulation or which infringes the rights of any third party, nor will you authorize or permit any other person to do so. You shall not post, link to or transmit: (a) Any material, which is unlawful, threatening, abusive, malicious, defamatory, or obscene; (b) Any material containing a virus or other hostile computer program; (c) Any material which constitutes, or encourages the commission of, a criminal offence or which infringes any patent, trademark, design right, copyright or any other intellectual property right or similar rights of any person which may subsist under the laws of any jurisdiction.

In addition, you agree to keep secure any identification, password and other confidential information relating to your account and shall notify Teleteria, Inc. immediately of any known or suspected unauthorized use of your account or breach of security, including loss, theft or unauthorized disclosure of your password or other security information.

You further agree to observe the procedures which Teleteria, Inc. may from time to time prescribe and shall make no use of the services of Teleteria, Inc. which is detrimental to Teleteria, Inc.'s other customers.

Service Availability:
Teleteria, Inc. shall use all reasonable endeavors to make available to you at all times its servers and services, but it shall not, in any event, be liable for interruptions of Service or down-time of the Server. The services provided to you by Teleteria, Inc. under the terms of this agreement and your account with Teleteria, Inc. cannot be transferred or used by anyone other than you. No more than one login session under any one account may be opened at any time by you. If your account is found to have been transferred to another party, or shows other activity in breach of the terms of this clause, Teleteria, Inc. shall have the right to cancel your account and terminate the Services and/or this Agreement immediately.

Payment Policy and Jurisdiction:
Teleteria, Inc. requires a 50% deposit on all website design services. Once the site is completed you will be presented with the site for your review and approval. Once you approve the site the balance is due.  If for any reason you are not satisfied with your site Teleteria, Inc. requests that you contact us immediately to allow us the opportunity to make the needed changes. By signing this contract you agree to the terms of our payment policy. All sales are final. No refunds. You further agree that if legal action is necessary to enforce payment, the jurisdictional location of enforcement will be in the State of Connecticut and furthermore that the laws of the State of Connecticut will apply. In addition, if judgement within and for the State of Connecticut is entered against the subscriber, then Teleteria, Inc. is entitled to reasonable attorney fees and all Court costs, as allowed by the Court. By signing this contract you agree to the terms of our payment policy as set forth in the above paragraph.

Termination:
Without in any way limiting Teleteria, Inc.'s rights enumerated throughout these Terms and Conditions, you hereby agree that if you fail to pay any sums due to Teleteria, Inc. as they fall due, Teleteria, Inc. may suspend its services to you and/or terminate this Agreement forthwith without notice to you.

On termination of this Agreement or suspension of the Services, Teleteria, Inc. shall be entitled immediately to block your website and to remove all data located on it. Teleteria, Inc. shall be entitled to delete all such data but it may, at its discretion, hold such data for such period as Teleteria, Inc. may decide to allow you to collect it at your expense, subject to payment in full of any amounts withstanding and payable to Teleteria, Inc.

You may cancel your account at any time, provided that you provide Teleteria, Inc. with 30 days notice.

Notice of Indemnification:
Teleteria, Inc. wishes to emphasize that in signing the service agreement, you agree to INDEMNIFY Teleteria, Inc. for any violation of the service agreement, applicable laws and regulation, or Teleteria, Inc. term or condition, that results in loss to Teleteria, Inc. or the bringing of any claim against Teleteria, Inc. by any third party. This means that if Teleteria, Inc. is sued because of your activities or the activities of one of your customers, you agree to pay any damages awarded against Teleteria, Inc., plus costs and reasonable attorneys' fees.

Limitation Of Liability:
All conditions, terms, representations, and warranties relating to the services supplied under this Agreement, whether imposed by statute or operation of law or otherwise, that are not expressly stated in these terms and conditions, including, without limitation, the implied warranties of satisfactory quality and fitness for a particular purpose, are hereby excluded.

The total aggregate liability of Teleteria, Inc. to you for any claim in contract, tort, negligence or otherwise arising out of or in connection with the provision of the Services shall be limited to the charges paid by you in respect of the Services, which are the subject of any such claim. In any event, no claim shall be brought unless you have notified Teleteria, Inc. of the claim within 6 months of its arising. In no event shall Teleteria, Inc. ever be liable to you for any loss of business, contracts, profits or anticipated savings or for any other indirect or consequential or economic loss whatsoever.

Notices:
Any notice to be given by either party to the other may be sent by email, fax, or recorded delivery to the address of the other party as appearing in this Agreement or ancillary application forms or such other address as such party may from time to time have communicated to the other in writing, and if sent by email shall unless the contrary is proved be deemed to be received on the day it was sent, or if sent by fax shall be deemed to be served on receipt of an error free transmission report, or if sent by recorded delivery shall be deemed to be served two days following the date of posting.

Payment:
All payments must be in US Dollars. If your check is returned by the bank as unpaid for any reason, you will be liable for a "returned check" charge of UDS $30.00. All charges payable by you for the Services shall be in accordance with the scale of charges and rates published from time to time by Teleteria, Inc. on its web site and shall be due and payable in advance of the provision of services by Teleteria, Inc. Without prejudice to its other rights and remedies under this Agreement, if any sum payable is not paid on or before the due date, Teleteria, Inc. shall be entitled forthwith to suspend the provision of Services to you.

Entire Agreement:
These Terms and Conditions, together with any documents expressly referred to in them, contain the entire Agreement between you and Teleteria, Inc. relating to the subject matter covered and supersede any previous Agreements, arrangements, undertakings or proposals, written or oral, between you and Teleteria, Inc. in relation to such matters. No oral explanation or oral information given by any party shall alter the interpretation of these terms and conditions. In agreeing to these terms and conditions, you have not relied on any representation other than those expressly stated in these terms and conditions and you agree that you shall have no remedy with respect to any misrepresentation, which has not been made expressly in this Agreement.
